LN Display Network – Terms of Use

1. Introduction

These Terms of Use govern the use of the LN Display Network ("Display Network"), a service developed and operated by LiveNow Affiliate Software LTD that allows visibility and promotion of approved Third-Party Merchant ("TPM") Offers and business listings within the Lifestyle App ecosystem and affiliated channels.

By participating in the Display Network, all Merchants and Affiliates agree to comply with these Terms.

2. Scope of the Display Network

2.1. The LN Display Network includes, but is not limited to: - The public and private interfaces of the Lifestyle App - Business Manager dashboards - Affiliate Backoffice dashboards - In-app business search results - Push notification campaigns and regional maps - Promotional placements across future LN software products

2.2. Display may include store name, logo, active offers, redemption stats, categories, locations, ratings, and basic contact information.

3. Participation Requirements

3.1. Merchants must: - Hold an active Business Manager Subscription (BMS) - Have submitted and received approval for at least one Offer - Maintain accurate business and KYC information

3.2. Affiliates may appear on the Display Network in ranking or leaderboard formats based on commission, downlines, or other gamified achievements, depending on their license type.

3.3. LN reserves the right to feature, promote, rank, or deprioritize any entity on the Display Network at its sole discretion.

4. Display Content and Format

4.1. All content displayed is either: - Submitted directly by the TPM through Business Manager - Pulled from approved Offers - Generated through automated in-app metrics

4.2. LN may format, stylize, crop, or algorithmically present content for consistency, readability, or performance.

4.3. Merchants may not request permanent display priority. LN may rotate or filter exposure based on algorithmic relevance, regional settings, or user behavior.

5. Reviews and Ratings

5.1. The Display Network may allow LM (Lifestyle Members) to submit reviews or ratings of businesses or Offers they have redeemed.

5.2. LN may moderate submitted reviews to prevent abuse but does not guarantee the accuracy or fairness of feedback.

5.3. Merchants may respond to reviews via their Business Manager portal. LN reserves the right to hide or remove content violating its review policy.

6. Use Restrictions

6.1. Merchants and Affiliates may not: - Tamper with display rankings - Artificially inflate reviews or redemptions - Use any automated tools to manipulate visibility

6.2. Any detected abuse will result in suspension or permanent exclusion from the Display Network.

7. Intellectual Property and Rights

7.1. LN owns the software infrastructure and presentation layer of the Display Network.

7.2. All merchant-submitted content remains the intellectual property of the submitting party but is licensed non-exclusively to LN for display and promotional purposes.

7.3. LN may archive or reuse past display snapshots for analytics or internal benchmarking.

8. Legal Disclaimers

8.1. LN does not guarantee specific visibility, engagement, conversion, or revenue from Display Network participation.

8.2. Merchants and Affiliates are solely responsible for the quality, accuracy, and legal compliance of any content they provide.

8.3. LN disclaims liability for any loss resulting from customer interactions, failed redemptions, or platform downtime.

9. Suspension and Enforcement

9.1. LN may remove a Merchant or Affiliate from the Display Network without notice in cases of: - Violation of Display Network policies - Repeated customer complaints - Abuse of the review or ranking system - Non-payment of required subscriptions

9.2. Suspension from the Display Network does not cancel or refund any active LN subscriptions.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus. All disputes shall fall under the exclusive jurisdiction of the courts of Limassol.

11. Amendments

LN may update or amend these Terms at any time. Use of the Display Network after changes constitutes acceptance of the updated Terms.
